This letter is to confirm your retention of C. Flowers Law, PLLC (“Firm”) to provide legal services in connection with the formation of a non-Texas (Wyoming) limited liability company. The nature of the services to be performed may be authorized solely by you. It is my understanding that you desire me to provide the following documents in connection with the matters set forth above:
- Prepare and file a Certificate of Formation with LLC provisions;
- Prepare a Company Agreement;
- Prepare Organizational Minutes reflecting the creation of the LLC; and
- Complete IRS Form SS-4 and obtain an EIN;
The cost for the above-described matters is as follows:
Formation of a limited liability company and $ 2,400.00
WY Secretary of State filing fee for LLC $ 100.00
Total: $2,500.00
Upon the receipt of this agreement, along with the return of the executed copy to our office, I need you to deliver to me an initial payment of $ . A final payment of $ will be due BEFORE I send drafts of your documents. I will provide payment instructions and an invoice for you to pay electronically.
Please note that this fee does not cover any work in connection with the federal Corporate Transparency Act (the "Act"), including, but not limited to, the filing of reports required by the Act, even if we create entities as part of your plan that are subject to reporting under the Act. In addition, this fee does not include any review or analysis of your current assets and holdings, powers over or interests in trusts to determine whether you have any interests in existing entities that may require reporting under the Act. We will be happy to discuss the Corporate Transparency Act in general with you to determine whether you should investigate its application to you in detail, but we are not taking on this type of compliance work at this time.
This agreement, insofar as it relates to services not already performed, may be terminated at any time by either party. Its terms and conditions may be reexamined and amended at any time, should the parties so agree in writing. The Firm's obligation to update or amend any documents that may be needed or notify you of any changes in the law relating to those documents, if any, ends as of the date the documents are delivered to you. The legal services provided herein are limited to the above-described services, specifically, this Firm does not represent the legal interests of any individual in their personal capacity, but rather the prospective entity at the direction of the undersigned individuals.
If this letter satisfactorily sets forth the terms of our relationship, please execute the enclosed copy under the word "Accepted" and return the copy to us along with the retainer requested.
